These Terms and Conditions ("Terms") govern your access to and use of the LeadProton website (leadproton.com) and services provided by LeadProton ("we," "our," or "us"). By accessing or using our services, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account, accessing our website, or using any of our services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not use our services.

2. Description of Services

LeadProton provides an AI-powered social media lead generation platform that:

• Monitors publicly available social media conversations for buying intent signals
• Scores and ranks leads using AI-powered analysis
• Delivers real-time alerts via email and Slack
• Provides AI-generated reply suggestions
• Offers campaign management and analytics tools
• Enriches lead data with publicly available contact information

3. Account Registration

To use our services, you must create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain and update your account information
• Keep your password secure and confidential
• Accept responsibility for all activity under your account
• Notify us immediately of any unauthorized use

You must be at least 18 years old to create an account. By registering, you represent that you meet this requirement.

4. Subscription Plans and Billing

4.1 Plans

We offer multiple subscription plans with varying features and limits. Plan details, pricing, and features are described on our pricing page and may be updated from time to time.

4.2 Billing

• Subscriptions are billed on a monthly recurring basis
• Payment is due at the start of each billing cycle
• All fees are non-refundable unless otherwise stated
• We reserve the right to change pricing with 30 days' notice

4.3 Free Trial

We may offer a free trial period. At the end of the trial, your account will be charged for the selected plan unless you cancel before the trial expires. You may only use one free trial per person or organization.

5. Acceptable Use

You agree to use our services only for lawful purposes and in accordance with these Terms. You may not:

• Use the service to send spam, to harass anyone, or to send messages that break anti-spam or privacy laws
• Scrape, reproduce, or redistribute our data or content without permission
• Attempt to reverse engineer, decompile, or disassemble our software
• Use the service to violate any applicable law, regulation, or third-party rights
• Impersonate any person or entity or misrepresent your affiliation
• Interfere with or disrupt the integrity or performance of our services
• Access or attempt to access accounts or data belonging to other users
• Use automated systems to access our services beyond normal API usage
• Use lead data for purposes that violate the privacy rights of individuals

6. Social Media Platform Compliance

Our service monitors publicly available data on third-party social media platforms. You acknowledge that:

• You are responsible for complying with each platform's terms of service when engaging with leads
• We are not responsible for changes to third-party platform APIs or policies
• Platform availability and data access may change without notice
• You will not use our service to circumvent any platform's restrictions or policies

7. Sending Email from Your Own Mailbox

LeadProton lets you connect your own email account and send emails you write, with or without AI help, from that account. Before you connect a mailbox you must accept this section by ticking the agreement box, and you may be asked to accept it again when it changes. We record the date, the version of this section and your IP address each time you accept.

7.1 You Are the Sender

• Every email is sent from your own email account, in your name, through your email provider's servers. You are the sender of every email.
• You alone decide who to email, what to write and when to send. LeadProton is only a software tool that helps you write and send your own emails. We do not choose recipients, and we do not review, approve or send emails on our own.
• You are solely and fully responsible for every email you send through LeadProton, including its content, its recipients, its timing and its results.

7.2 Following the Law

You must follow every law that applies to your emails, in your country and in your recipients' countries, including anti-spam, privacy and data protection laws (for example CAN-SPAM in the United States, GDPR and the ePrivacy rules in the EU and UK, CASL in Canada, and the rules of the UAE, Saudi Arabia and every other country you send to). In particular, you must:

• Have a lawful reason to contact each person you email
• Use your real identity and honest subject lines, and never hide or fake who an email is from
• Add to your emails any opt-out instructions, postal address or other details the law requires. LeadProton does not add these for you.
• Stop emailing anyone who asks you to, promptly and within the time the law requires. You can use the Don't email button in Mail Inbox → Contacts to block further emails to that person from LeadProton.
• Follow your email provider's own terms and sending limits

7.3 Emails You Must Not Send

You must not use LeadProton to send emails that contain or promote:

• Spam, or bulk messages that break anti-spam laws
• Threats, harassment, bullying, intimidation or abuse
• Adult or sexual content
• Gambling, betting or lottery offers
• Hate speech, or discrimination of any kind
• Scams, phishing, fraud, fake offers or misleading claims
• Political campaigning, election or political fundraising messages
• Malware or harmful links
• Illegal products or services, or anything else that is illegal where you or your recipients are

7.4 Your Email Login

Your email login is protected with bank-grade AES-256 encryption. It is never displayed or shared, and is used only to send the emails you choose, through your email provider's own secure servers. You can disconnect at any time, and your login is deleted from LeadProton immediately. You are responsible for keeping your email account secure.

7.5 No Responsibility for Your Emails

• LeadProton is not responsible or liable for any email you send, its content, its recipients, or any loss, claim, complaint, fine, penalty or damage that results from it.
• We do not promise that your emails will be delivered, opened or answered. We are not responsible if your email provider limits, blocks, suspends or closes your mailbox, or if your emails are marked as spam.
• You will defend, cover and pay LeadProton for any claim, fine, penalty, damage, loss or legal cost that comes from the emails you send or from breaking this section, as set out in section 13 (Indemnification).

7.6 Our Rights

• We may block an email, pause or disconnect your mailbox, or suspend or close your account, without notice, if we believe you have broken this section or the law, or if a complaint is made about your emails.
• We may keep records of the emails sent through LeadProton (such as the date, sender, recipient, subject and text) and of your acceptance of this section, and share them with authorities or your email provider when the law requires it or to defend against a claim.

8. Intellectual Property

All content, features, and functionality of our services — including text, graphics, logos, icons, software, and code — are owned by LeadProton and are protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our written consent.

You retain ownership of any content you submit to our services (campaign settings, keywords, custom responses). By submitting content, you grant us a limited license to use it solely to provide our services to you.

9. Data and Privacy

Your use of our services is also governed by our Privacy Policy. By using our services, you consent to the collection and use of information as described in our Privacy Policy.

You acknowledge that lead data provided through our service is derived from publicly available sources and is provided "as is." We do not guarantee the accuracy, completeness, or currency of any lead data.

10. Disclaimer of Warranties

Our services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to:

• Merchantability or fitness for a particular purpose
• Accuracy or reliability of lead data or AI scoring
• Uninterrupted or error-free service
• Results or outcomes from using our services

We do not guarantee any specific number of leads, conversion rates, or business results from using our services.

11. Limitation of Liability

To the fullest extent permitted by law, LeadProton shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from your use of or inability to use our services.

Our total liability for any claims arising from these Terms or your use of our services shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

12. Cancellation and Termination

12.1 By You

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period. No refunds are provided for partial billing periods.

12.2 By Us

We may suspend or terminate your account at any time if you violate these Terms or engage in conduct that we determine is harmful to other users, us, or third parties. We will provide reasonable notice when possible.

13. Indemnification

You agree to indemnify and hold harmless LeadProton, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of our services, any email you send through our services, your violation of these Terms, or infringement of any third-party rights.

14. Modifications to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or a prominent notice on our website at least 30 days before they take effect. Your continued use of our services after changes become effective constitutes acceptance of the revised Terms.

15. Governing Law

These Terms shall be governed by and construed in accordance with applicable laws, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved through good-faith negotiation, and if necessary, through binding arbitration.

16. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

17. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and LeadProton regarding your use of our services and supersede all prior agreements.
